Aditech Pty Ltd (ABN 81 125 407 105) operates the website aditech.com.au and provides technology consulting, AI platform development, enterprise infrastructure, and related services. References to "Aditech", "we", "us" or "our" in these terms refer to Aditech Pty Ltd.

1. Agreement to Terms

By accessing or using the Aditech website (aditech.com.au) or engaging Aditech for services — including AI platform development, enterprise infrastructure consulting, and technology solutions — you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you may not use our website or engage our services. These Terms should be read in conjunction with our Privacy Policy, which forms part of this agreement.

Aditech reserves the right to modify these Terms at any time. The "Last updated" date at the top of this page will be revised accordingly. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.

2. Services

Aditech provides the following categories of services:

3. Engagement & Quotes

All engagements with Aditech begin with a consultation to understand your requirements. Following this, we will provide a written proposal or quote detailing:

A quote is valid for 30 days from the date of issue unless otherwise stated. Acceptance of a quote — whether by written confirmation, email, or commencement of work — constitutes a binding agreement subject to these Terms.

4. Payment Terms

Unless otherwise agreed in writing:

Late payment may incur interest at 2% per month on the outstanding balance. Aditech reserves the right to suspend services if payment is overdue by more than 30 days.

5. Intellectual Property

5.1 Aditech IP

All pre-existing intellectual property, tools, frameworks, and methodologies owned by Aditech remain the property of Aditech. This includes any proprietary systems, code libraries, or AI models used in delivering services.

5.2 Client IP

Upon full payment of all invoices for a project, the client owns all bespoke work product created specifically for them under that engagement, unless otherwise agreed in writing. This does not include Aditech's pre-existing IP or general-purpose tools.

5.3 Licence

Where Aditech's pre-existing IP is incorporated into a deliverable, Aditech grants the client a non-exclusive, perpetual licence to use that IP as part of the delivered solution, for the client's own business purposes only.

6. Confidentiality

Both parties agree to keep confidential any proprietary, commercial, or sensitive information disclosed during the engagement. This obligation survives the termination of the engagement and does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

9. Cancellation & Termination

Either party may terminate an engagement by providing 14 days written notice, unless a different notice period is specified in the relevant Statement of Work.

10. Force Majeure

Neither party shall be liable for any failure or delay in performing obligations where such failure or delay arises from circumstances beyond reasonable control, including but not limited to natural disasters, internet outages, power failures, government actions, or pandemics.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Victoria, Australia. You agree to submit to the exclusive jurisdiction of the courts of Victoria for the resolution of any disputes arising under these Terms.

12. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
